■ポジションについて
同グループにおけるコンプライアンス調査の司令塔として、内部通報制度の運用と、不正・汚職・会計不正などの調査を統率します。
法務のバックグラウンド以上に、客観的事実を積み上げる調査スキルと不正の真因を解明する洞察力が求められるポジションです。

■ポジションについて
内部通報・調査の指揮・実行: 内部通報窓口に寄せられた案件の受付、調査計画の策定、証拠収集、関係者ヒアリングの主導。
重大事案への対応: 会計不正、贈収賄、独占禁止法違反等の複雑な事案に対し、関係部署（財務・監査・人事等）と連携した真相究明。
是正措置と再発防止: 調査結果に基づく改善策の提言、およびSenior Managementへのレポート。
ピープルマネジメント: 調査チーム（Compliance Investigation Team）の指導・育成、リソース管理。

Main responsibilities:
Support global risk assessment and monitoring plan to ensure compliance and mitigate risks ;
Monitor compliance with healthcare policies and procedures, development of complex testing templates and metrics for tracking and trending, and providing appropriate guidance to internal stakeholders
Drive and ensure a culture of ethics and compliance by closely partnering with commercial and cross-functional team to:Provide value added and solution oriented counseling.
Optimize local compliance rules and SOPs;
Design and update local compliance training materials an overall training plan;
Drive compliance ownership across the organization

Review and approve transactions and interactions with health care professionals

•取締役会取締役会議事録を遅滞なく作成する。
•開示書類の作成有価証券報告書、コーポレートガバナンス報告書および統合レポートといったガバナンスに関する開示書類の作成を担当する。
•内部統制システム基本方針の策定会社法に基づく内部統制システム基本方針において、関係部署と連携し定期的な見直しを図る。
•株式実務株式管理、配当金業務、株主名簿管理などを社内外の関係者と連携し推進する。
•組織再編会社法の法定手続き業務を担う。
•関係会社法務指導国内関係会社に対して、株主総会や取締役会の議事録の確認、法務相談、会社法レクチャーなどの法務指導を行う。
*ご入社当初は株主総会や会社法全般に係る書類作成や関係会社法務指導、内部統制システム基本方針の管理、チーム内のナレッジ共有等をご担当いただくこと予定しています（スキルに応じて要相談）。また、チーム内での担当のローテーションも行います。
