Responsibilities

Main responsibilities:

• IPO Leadership
  • Lead end-to-end IPO readiness planning and execution.
  • Develop and manage the company's IPO roadmap and timeline.
  • Act as the primary finance stakeholder with underwriters, auditors, legal advisors, and regulatory bodies.
  • Coordinate IPO-related due diligence, documentation, and reporting requirements.
  • Drive readiness initiatives across finance, accounting, governance, compliance, and internal controls.
  • Support preparation of listing application materials and disclosure documents.
• Corporate Governance & Internal Controls
  • Establish governance frameworks appropriate for a listed company.
  • Develop and strengthen internal control systems and risk management processes.
  • Ensure compliance with Japanese regulatory and listing requirements.
  • Work closely with management and the Board on governance matters.
  • Lead implementation of policies, procedures, and reporting frameworks expected of public companies. 
• Financial Reporting & Accounting
  • Oversee all accounting and financial reporting activities.
  • Ensure timely monthly, quarterly, and annual reporting.
  • Manage audit processes and relationships with external auditors.
  • Establish scalable financial reporting processes to support future public company obligations.
  • Improve financial visibility, reporting quality, and management information. 
• Corporate Planning & Business Partnership
  • Support executive management with strategic planning and business decision making.
  • Provide financial analysis and insights regarding company performance.
  • Develop and monitor business KPIs.
  • Support long-term business planning and budgeting processes.
  • Deliver meaningful reporting and analysis to shareholders and the Board. 
• Back Office Leadership
  • Oversee finance, accounting, legal, compliance, HR administration, and corporate functions.
  • Drive operational excellence and organizational scalability.
  • Ensure company-wide processes are robust and efficient.
  • Build infrastructure capable of supporting continued business growth. 
• Stakeholder Management
  • Build trusted relationships with auditors, securities firms, banks, shareholders, and external advisors.
  • Provide professional communication to both Japanese and international stakeholders.
  • Support board meetings and executive committee discussions.
  • Act as a credible external representative of the company when required.

Requirements

Minimum requirements:

• Experience leading or playing a key role in a Japanese IPO process.
• Deep understanding of Tokyo Stock Exchange listing requirements and IPO readiness.
• Significant experience managing auditor and underwriter relationships.
• Strong knowledge of accounting, financial reporting, governance, and internal controls.
• Experience overseeing corporate management and back-office functions.
• Demonstrated ability to build processes and organizations in a high-growth environment.
• Native level Japanese.
• Business-level English communication skills.
• Strong executive presence and stakeholder management capabilities.
