Responsibilities

• M&A案件の目標の明確化
• M&A案件の目標の周知徹底
• M&A対象の調査項目の明確化、デュー・ディリジェンスでの調査実施支援
• 価格および契約交渉の方針策定、実際の交渉
• 契約書類のチェック、要修正事項の指摘
• 取引ストラクチャーの検討、財務影響の試算
• M&A後の当社との商務取引継続の場合、取引継続方針につき社内関係者との調整
• 社内外の関係者との意見調整、役割分担明瞭化、コミュニケーション円滑化の支援
• M&A実行後の統合作業の支援

Requirements

必須条件：

• M&A実務のご経験をお持ちの方
• （事業提携交渉経験／提携契約書交渉、レビュー経験／事業計画作成支援経験等）

歓迎条件：

• TOEIC(R)テスト800点程度の英語力
